1. General Terms

Eligibility: You must be at least 18 years old to register. By using MikroGigs, you confirm that you have the legal capacity to enter into this Agreement.

Account Responsibility: You are responsible for the accuracy of your account data and for safeguarding your credentials. Any activity performed under your account is deemed your responsibility.

Right to Refuse or Suspend Access: MikroGigs reserves the right to suspend or terminate accounts that breach these Terms or applicable laws.

2. Nature of the Platform

MikroGigs operates as a hybrid digital ecosystem consisting of:

Non-Security Representation: MG Coins, badges, or engagement-based rewards are not shares, securities, or investment instruments. They serve purely as internal reward metrics.

Equity Conversion (Snapshot Clause):
If MikroGigs becomes a publicly listed entity or introduces an equity-sharing program, a snapshot of all MG Coin balances and user activity will be taken on the official conversion date.
Only users active and verified at that snapshot will qualify under the announced conversion ratio. MG Coins earned after the snapshot will not retroactively qualify.

Ownership and Revenue Sharing:
Users do not own shares in MikroGigs unless expressly granted through a future formal equity issuance. Until then, ownership remains with MikroGigs.

Right to Modify:
MikroGigs may adjust reward ratios, payout cycles, or the structure of its community program to maintain financial and operational sustainability, with prior notice to users.

4. Revenue and Earnings Architecture

4.1 Platform Revenue Streams

Pro Packages: Optional paid upgrades offering higher visibility, analytics, and referral commissions.

Payout Policy: 50% of every Pro Package sale is paid out within 24 hours via Paystack to the referring user.

The remaining 50% supports company operations, hosting, development, and support costs.

Gig Commissions: Fees deducted from completed professional transactions to sustain platform maintenance.

Ad Revenue: Income generated from advertisements displayed across MikroGigs. This forms the basis of the Ad Revenue Sharing Pool.

4.2 Ad Revenue Distribution

MikroGigs commits to allocating up to 50% of Net Ad Revenue to eligible users through its community earnings system.

Net Ad Revenue = Gross advertising income minus taxes, refunds, chargebacks, ad network commissions, and verified invalid traffic deductions.

Eligibility Criteria:

Distribution Formula: Rewards are calculated proportionally based on MG Coins, verified engagement, and referral contribution.

Commencement: Payouts begin once MikroGigs reaches the required revenue and operational stability benchmarks, typically 3–6 months post-launch or upon achieving sustained ad revenue.

Use of Remaining 50%: Retained by MikroGigs for salaries, development, infrastructure, legal compliance, and business continuity.

5. Rewards, Referrals, and MG Coins

Purpose: Referrals help grow the user community. They are not investments.

Reward Conditions: Commissions and MG Coin earnings depend entirely on platform activity and are not guaranteed.

Payment Gateways: Disbursements occur via trusted payment processors (Paystack, Monnify, etc.) in compliance with KYC and AML standards.

No Multi-Level Marketing: MikroGigs uses a direct referral structure only. Users earn from direct referrals; there are no chain or downline bonuses.

Fraud & Clawback: MikroGigs reserves the right to withhold, adjust, or reverse rewards derived from fraudulent, duplicate, or ineligible activities, including bot use, fake traffic, or misrepresentation.

6. Transparency, Audit, and Verification

Ledger Visibility: Users can view periodic summaries of total ad revenue, reward pool allocations, and payout history via the dashboard.

Independent Audit: MikroGigs may appoint a third-party auditor to review payout processes annually and publish summarized findings.

Verification: All rewards undergo automated and manual checks before payment. Any suspected manipulation may delay or cancel payout until resolved.

7. User Conduct and Prohibited Activities

Users must not:

10. Public Communications & Misinformation

To preserve brand integrity:

Intentional misinformation or reputational damage may lead to account termination and legal prosecution.

11. Termination and Enforcement

MikroGigs may suspend or permanently terminate any user found to be in breach of these Terms.
Pending or disputed payouts may be held during investigations.
All fraud-related earnings will be nullified upon confirmation of misconduct.

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall first be resolved through arbitration in Oyo State, under the Arbitration and Conciliation Act.

Users agree to submit exclusively to the jurisdiction of Oyo State courts following unsuccessful arbitration.

13. Force Majeure

MikroGigs shall not be liable for delays or failure in performance caused by events beyond reasonable control, including but not limited to natural disasters, strikes, government actions, cyberattacks, or global outages.
